Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Inningly Service provided by Engineered Workflows LLC d/b/a Inningly (“Inningly”, “we”, “us”, or “our”). By signing up for an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old to create an account. The Service is intended for coaches and team organizers only. Minors may not create accounts.

2. Accounts; Account Security

  • You agree to provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You may not share your account or create an account for another person.
  • You must notify us immediately of any unauthorized use of your account or any breach of security.

3. Team and Roster Data

  • As a coach you may enter and manage information about your team members (limited to first name, optional last name, optional date of birth) for your team management purposes.
  • You represent that you are authorized to upload or provide that data and that you have obtained any necessary parental or guardian consent.
  • You agree not to use the Service to collect or store additional contact information, health or sensitive personal data of athletes unless we explicitly support that and you have necessary consents.

4. Coach’s Clips, Third-Party Content & Sharing

4.1 Third-Party Content

Inningly allows coaches to save URLs (“Coach’s Clips”) and may display embeddable previews when permitted by the underlying platform. Inningly does not host, upload, store, or control any third-party video content.

4.2 User Responsibility

You are solely responsible for the links, notes, tags, and content you save or share. By sharing a clip, you represent that: - “you have permission or a legal right to share it,” - “the content is appropriate for your intended audience, and” - “the sharing does not violate any applicable terms (including YouTube, TikTok, Facebook, Instagram, etc.).”

4.3 No Moderation

Inningly does not review, curate, or verify the accuracy, legality, or appropriateness of Coach’s Clips or Clip Shares.

4.4 Takedown Requests / DMCA

If you are a rights holder and believe material embedded through Inningly should not appear within the Service, you may request its removal by contacting [email protected] with: - the URL of the content, - a description of your rights, and - proof of authorization. We may disable or remove embedded displays at our discretion.

For additional details on how we handle third-party embeds, data collection, and your privacy rights, please see our Privacy Policy. Refunds associated with Coach Subscriptions and Coach’s Clips features are governed by our Refund Policy.

5. Payments

  • Upgrading a team from Free to Paid is a one-time payment per season processed via Stripe.
  • Upgrading a coach account from Free to Paid starts a recurring subscription processed via Stripe.
  • You agree to pay all applicable fees immediately when due.
  • All payments are in U.S. dollars.
  • Refunds are governed by our Refund Policy.

6. License & Intellectual Property

  • We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal team management use.
  • We retain all right, title and interest in the Service, our software, content, and all intellectual property rights therein.
  • You may not copy, modify, distribute, sell or create derivative works based on our Service or content therein without our prior written consent.

7. Acceptable Use

You agree not to:
- Use the Service for unlawful or unauthorized purposes;
- Upload content that violates any applicable law, regulation, or rights of third-parties;
- Use automated means (bots, scrapers) to access or collect data from the Service without our permission;
- Interfere with the operation or security of the Service; - Save or share URLs containing unlawful, infringing, or inappropriate content.

8. Disclaimers; No Guarantees

  • The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
  • Inningly does not guarantee any particular outcomes or results from using the Service.
  • We disclaim liability for inaccuracies in your team data, mis-use of the Service, or acts by third-parties.

9. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or related to these Terms or the Service is limited to the amount you paid (if any) for the Service in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, punitive, or consequential damages.

10. Termination

  • We may suspend or terminate your account at our discretion if you breach these Terms.
  • You may request account deletion by contacting [email protected]. Account deletion is not currently self-service.
  • Upon account closure or termination, your right to use the Service ends and your data will be handled per our Privacy Policy, including our data-retention practices described there.

11. Governing Law; Dispute Resolution

These Terms shall be governed by the laws of the State of Illinois, without regard to that State’s conflict of laws provisions. Any dispute arising under or related to these Terms shall be resolved in the state or federal courts located in Illinois.

12. Changes to the Terms

We may modify these Terms from time to time. The updated version will be reflected by the “effective date” above. Your continued use of the Service after changes constitutes acceptance of the new Terms.
